1. Service description

Badrama Tech provides Tranzra: a non-custodial payment routing and orchestration platform accessible via API. By accessing or using the Tranzra API, dashboard, or related services, you agree to these terms.

Tranzra is a business-to-business infrastructure service. You must be a registered business entity or sole trader operating lawfully in your jurisdiction to use it. Consumer use is not permitted.

2. Non-custodial nature

Tranzra is not a payment institution, money services business, or e-money issuer. It does not hold, pool, or transmit funds on behalf of tenants or their end-users. All funds move through your own provider relationships; Tranzra orchestrates routing instructions only. You are responsible for ensuring your provider relationships and your own business practices comply with applicable financial regulation in every jurisdiction where you operate.

3. Your responsibilities

  • You are responsible for obtaining and maintaining all licences, registrations, and regulatory authorisations required to initiate or receive payments in your jurisdictions of operation.
  • You are responsible for the accuracy of routing instructions, counterparty details, and amounts you submit to the Tranzra API.
  • You must not use Tranzra to route transactions that are unlawful, sanctioned, or in breach of your provider's acceptable use policies.
  • You must keep your API credentials and provider credentials secure. You are liable for all activity under your tenant account.
  • You must notify us promptly of any suspected compromise of credentials or unauthorised use of your account.

4. Acceptable use

You may use Tranzra only for lawful purposes consistent with these terms and applicable law. You must not: attempt to circumvent rate limits or security controls; reverse-engineer or extract proprietary routing logic; resell API access without written consent; submit fabricated or fraudulent payment intents; or use the service to facilitate money laundering, terrorist financing, or sanctions evasion.

5. Idempotency and routing outcomes

Tranzra routes intents on a best-effort basis using the provider credentials you supply. We do not guarantee a specific outcome — provider availability, network conditions, and counterparty eligibility are outside our control. Where an intent fails, Tranzra will attempt failover to alternative routes within your configured set. You are responsible for reconciling provider-level outcomes against the Tranzra orchestration log.

6. Limitation of liability

To the maximum extent permitted by law, Badrama Tech's liability to you for any claim arising out of or in connection with Tranzra — whether in contract, tort, or otherwise — is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of revenue or lost transaction value.

Because Tranzra does not hold or move funds, it cannot be held liable for settlement failures, provider disputes, or end-user complaints arising from transactions routed through your provider relationships.

7. Intellectual property

Tranzra, its API, documentation, and all underlying technology are the intellectual property of Badrama Tech. These terms grant you a limited, non-exclusive, non-transferable licence to access and use the service for your own lawful business operations. No other rights are granted.

8. Term and termination

Either party may terminate the service relationship on 30 days written notice. Badrama Tech may suspend or terminate access immediately for material breach, suspected fraud, or regulatory requirement. On termination, your access to the API is revoked; you retain access to exported reconciliation data for the retention period described in the privacy policy.

9. Governing law

These terms are governed by the laws of Uganda. Any dispute arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the courts of Kampala, Uganda, unless otherwise agreed in writing.

10. Changes to these terms

We may update these terms from time to time. We will update the effective date above and notify account holders via the registered email address at least 14 days before material changes take effect. Continued use of the service after that date constitutes acceptance of the revised terms.
